Terms of Service

These Terms apply to all relations between the Company and users concerning the browsing of the Company's website and the use of software operated by the Company. Individual conditions and notices separately established by the Company on the Service form part of these Terms. Where individual conditions differ from these Terms, the individual conditions prevail.

• "Service" means the Company's website and the software operated by the Company, including software limited to internal use.
• "User" means a person who uses the Service.
• "Internal tool" means software that only the Company's employees and persons expressly permitted by the Company may use, and which is not distributed or sold externally.

Internal tools operated by the Company, including those that automate video production and posting, may be used only by the Company's employees and persons expressly permitted by the Company. The Company does not offer such tools to third parties as a service, and provides no account registration for general users.

Access to internal tools is restricted by the Company's authentication infrastructure. Users must not disclose or lend their credentials to any third party.

The Company may use services provided by third parties in providing the Service. The video production tool operated by the Company uses YouTube API Services to upload videos produced by the Company to YouTube channels that the Company manages.

The YouTube Terms of Service (https://www.youtube.com/t/terms) and the Google Privacy Policy (https://policies.google.com/privacy) apply to the use of that functionality, and the Company complies with them.

Authorization credentials stored by the Company may be revoked at any time from the Google security settings page (https://security.google.com/settings/security/permissions).

The same tool uses TikTok's Content Posting API to send videos produced by the Company to a TikTok account that the Company manages. The TikTok Terms of Service (https://www.tiktok.com/legal/terms-of-service) and the TikTok Privacy Policy (https://www.tiktok.com/legal/privacy-policy) apply to the use of that functionality, and the Company complies with them. Authorization may be revoked at any time from the TikTok app settings.

Changes to the specifications of third-party services, or the suspension or termination of such services, may render part of the Service unavailable. The Company bears responsibility for any resulting disadvantage only within the scope of Article 7 of these Terms.

In using the Service, users must not engage in any of the following conduct.

• Conduct that violates laws and regulations or public order and morals
• Conduct that infringes the intellectual property rights, privacy, reputation, or other rights or interests of the Company or any third party
• Conduct that interferes, or risks interfering, with the operation of the Service
• Gaining unauthorized access to the Service or placing an excessive load on it
• Disclosing, lending, or transferring credentials granted by the Company to any third party
• Reproducing, publishing, or redistributing information obtained through the Service without the Company's permission

Intellectual property rights in the Service and in all programs, text, images, audio, and other information comprising the Service belong to the Company or to the rightful owners. Users must not reproduce, modify, publish, or redistribute them without the Company's prior written consent.

Where the Company uses a third party's work in a video it produces, the Company confirms the licensing conditions of that work and uses it within the scope of the permissions obtained. Sources are credited in the video.

Except where required by law, the Company does not warrant the accuracy, completeness, usefulness, or fitness for a particular purpose of the contents of the Service.

The Company is not liable for damages incurred by users through use of the Service, except where caused by the Company's willful misconduct or gross negligence. Even where the Company is liable, its liability is limited to ordinary and actual damages directly incurred.

The Company may change the contents of the Service, or suspend or terminate its provision, without prior notice to users. The Company bears responsibility for any resulting damages only within the scope of Article 7 of these Terms.

The Company handles personal information obtained in connection with the use of the Service properly and in accordance with its separately established Privacy Policy (https://rayven.co.jp/en/privacy-policy). The handling of information obtained through YouTube API Services is also set out in that policy.

The interpretation and application of these Terms are governed by the laws of Japan. Any dispute between the Company and a user concerning the Service shall be subject to the exclusive jurisdiction of the Osaka District Court as the court of first instance.

The Company may amend these Terms without notice to users where it deems necessary. When these Terms are amended, the amended content will be posted on the Company's website. Use of the Service after such posting is deemed acceptance of the amended Terms.
